Welcome to Clout, an online service (which includes a website, mobile apps, and other technology and components) (“Service”), owned and operated by Fideate LLC, a Delaware Limited Liability Corporation. (“Clout” “we,” “our,” or “us”).
Information We Collect
Sign-Up Information and Profile
You provide us with personally-identifiable information, such as your name and email address, when you register an account with the website (“Personal Information”). We may also ask for the URL subdomain prefix for your Company Community (e.g. CompanyName.myclout.com). You may also choose to add information, such as a photo, to your profile.
You can register to join directly via the Service or by logging into your account with certain social networking sites (“SNSs”) via our Service, we will obtain the Personal Information you have provided to the SNS (such as your “real” name, profile picture, email address and other information you make publicly available via the applicable SNS) from the account you have with such SNS, and you consent to our access to and use of such information about you in connection with the Service. The information that we obtain from the applicable SNS may depend on the privacy settings you have with the SNS. We will use that Personal Information to create your Service account (“Account”) and you will then become a Member. We will use the Personal Information that we obtain from your SNS account to link your Account to your SNS account, if applicable.
As part of the functionality of the Service, you may link your Account with various online accounts you have with certain third parties, including but not limited to SNSs, and with other third party websites (collectively, “Third Party Service(s)”), by providing your Third Party Service login information or website URL, via the Service. You may then share content with or from the applicable Third Party Services. You will determine the Third Party Service(s) for which you are willing to share content with us through your Account. By submitting Third Party Service login information or website URLs, you are granting us permission to access and use (i) your login information or URL and (ii) certain other information from the Third Party Service(s) that you designate (e.g. the content that you post to the applicable Third Party Service(s) and the activity, including responses, of individuals who interact with such content (collectively, “Followers”), which can be accessed and used within the Service and shared with us. As noted above, although Followers’ responses are visible to us, we do not review or collect any such responses or the Followers’ names or other profile information.
We may also collect other information that you provide as part of registration and administration and personalization of your Account (e.g. without limitation, gender, city, zip code (on its own) and individual preferences (“Non-Identifying Information”).
If you choose to post Content, you are allowing us to access this Content and to share such Content with others within and outside your Company Community. Although the responses of other users to the Content you post will be visible to us, we will not review or collect any such responses or the author’ names or other profile information; however, we may count the number of responses generated by your content and provide that information to us.
If you choose to post user Content, you should be aware that any Personal Information you submit through these features can be read, collected, or used by other viewers of your Company Community. We are not responsible for the Personal Information you choose to disclose on the Company Portal or with the members of your Company Community.
Site Usage Information
We also use “web beacons,” “pixel tags,” “clear GIFs” or similar means (individually or collectively “Web Beacons”) in our Service. A Web Beacon is an electronic image, often a single pixel, embedded on web pages. Web Beacons are ordinarily not visible to users. Web Beacons allow us to count the number of users who have visited certain pages of the Service or interacted with content shared by users, to deliver branded services and to generate statistics about how our Service is used.
When you interact with the Service our servers automatically record information that your browser sends whenever you visit a website or select a link (“Log Data”). This Log Data may include information such as your computer’s Internet Protocol address, browser type, the webpage you were visiting before you interacted with our Service, and other statistics. We use this information to monitor and analyze use of the Service and for the Service’s technical administration, to increase our Service’s functionality and user-friendliness, and to better tailor it to our users’ needs. We also use this information to verify that visitors who interact with the Service meet the criteria required to process their requests. Such information may also be used to gather broad demographic information, such as country of origin and Internet Service Provider. We may also link this information with Personal Information.
If you use our Mobile Apps or interact with a website that has deployed a plugin, you agree that information about you and your use of the Service, including, but not limited to, your device, your mobile carrier, your internet access provider, your physical location, and/or web pages containing Clout plugins that load in your browser may be communicated to us. Further, by importing any of your data through the Mobile Apps, you represent that you have authority to share the transferred data with your mobile carrier or other access provider. In the event you change or deactivate your mobile account, you must promptly update your Clout account information to ensure that your messages are not sent to the person that acquires your old number and failure to do so is your responsibility.
Identity theft and the practice currently known as “phishing” are of great concern to us. Safeguarding information to help protect you from identity theft is a top priority. We do not and will not, at any time, request your credit card information, login information, or national identification numbers in a non-secure or unsolicited e-mail or telephone communication. Use and Disclosure
We use your Personal Information using your Google account data, when it is connected to the Clout system, to provide, maintain, protect, and improve the Service, to authenticate you as a user, to communicate with you, to assist you in using the Service, and allow your company to track and measure the publicity you generate related to the company and its products. We may combine your Personal Information with non-Personal Information and aggregate it with information collected from other users to attempt to provide you with a better experience, to improve the quality and value of the Service, and to analyze and understand how our Service is used. Clout will not share, rent, or sell your Personal Information to other parties, except to our service providers as set forth below.
We may match information collected from you through different means or at different times, including both Personal Information and Site Usage Information, and use such information along with information obtained from other sources, including (without limitation) any of our other websites and third parties. We may send you notices (for example, in the form of emails, mailings, and the like), and otherwise correspond with you, about products, services, companies, events, sponsored by us and others, that we think might interest you.
We may disclose non-personally identifiable aggregate statistics regarding user behavior as a measure of interest in, and use of, our Service to third parties in the form of aggregate data, such as overall patterns or demographic reports, which do not describe or identify any individual user. Information relating to aggregate statistics may be collected through the use of third-party cookies and other third party tracking devices.
We may also use your Google Data to allow you to send emails to your contact lists on the Clout systems. Clout Systems record and store your Google contacts to help you create communication lists from the system.
We may share aggregated information that does not include Personal Information and we may otherwise disclose Non-Identifying Information and Log Data with third parties for industry analysis, demographic profiling, and other purposes. Any aggregated information shared in these contexts will not contain your Personal Information.
If you are an Administrator, we have an import contacts feature to make it easy for you to invite people from your or to join you on our Service. You can manually import a file from your email program or you can provide us with your email user name and password and the Clout program will import your email contacts for you. When you import your contacts, we will ask you if you wish to invite your colleagues from your same domain. If you indicate that you would like to invite them, we will send them an invitation from you to activate a Clout account and join the same Community as you.
Social Media Outlets and Third-Party Websites
We may share the information in your account, and user Content you elect to share via the Service, with the Social Media Outlets with whom you choose to share user Content, provided the Social Media Outlet has been approved by an Administrator of your Company Portal. By publishing user Content to your Social Media Outlet, you are allowing us to access your Social Media Outlet account information and you are agreeing to the applicable Social Media Outlet terms and conditions. Other than what we may share with a Social Media Outlet in connection with your use of the Service, the Personal Information a Social Media Outlet has collected from you is obtained and maintained by them independently of our Service. Other services follow different rules regarding the use or disclosure of the Personal Information you submit to them. We encourage you to read the privacy policies or statements of the other online services you use. We cannot always foresee or anticipate technical or other difficulties which may result in failure to obtain data or loss of information, personalization settings or other service interruptions. We cannot assume responsibility for the timeliness, accuracy, deletion, non-delivery or failure to store any Social Media Outlet data, communications, or personalization settings.
Third-Party Service Providers
We may employ agents, contractors, and third-party companies and individuals to operate the Service and perform related services (e.g., operation and maintenance of the Service, database management, web analytics, and improvement of the Service’s features), or to assist us in analyzing how our Service is used. These third parties have access to your Personal Information and other information collected as set forth above only to perform these tasks on our behalf and are obligated not to disclose your Personal Information or use it for any other purpose.
Compliance with Laws and Law Enforcement
We cooperate with government and law enforcement officials and private parties to enforce and comply with the law. We will disclose any information about you to government or law enforcement officials or private parties as we, in our sole discretion, believe necessary or appropriate to respond to claims and legal process (including but not limited to subpoenas), to protect the property and rights of Clout, its suppliers, or other third parties, to protect the safety of the public or any person, or to prevent or stop activity we may consider to be, or to pose a risk of being, illegal, unethical, or legally actionable activity.
We may sell, transfer or otherwise share some or all of its assets, including your Personal Information, in connection with a merger, acquisition, reorganization or sale of assets or in the event of bankruptcy.
Comments, Feedback, Surveys
If you email us through the website, we may ask you for information such as your name and email address so we can respond to your questions and comments. If you choose to correspond with us via email, we may retain the content of your email messages, your email address and our response to you. In certain cases, and with your permission, we may post content from your emails to us on the website.
We may occasionally ask users of our Service to complete online surveys and opinion polls about their activities, attitudes, and interests. These surveys help us better serve you and improve the usefulness of the Service. In requesting your participation in these surveys we may ask you to provide you name and email address to us.
Accessing and Managing Your Information
All Authorized users may review, update, correct, or delete the Personal Information in their account by making edits via the Service. If you would like us to delete your account in our system, please contact us at the email provided below with a request that we delete your Personal Information from our database. We will use commercially reasonable efforts to honor your request. We may retain an archived copy of your records as required by law or for legitimate business purposes.
You have the right to “opt in” and/or “opt out” of certain of our uses of your Personal Information. For example, you may have the opportunity to elect whether you would like to receive certain correspondences from us or opt out of Clout’s promotional emails. Please understand that if you opt out of receiving promotional correspondence from us, we may still contact you in connection with your relationship, activities, transactions, and communications with us. If you delete your account, you will no longer receive any communication from us.
Clout uses commercially reasonable and industry standard safeguards to preserve the integrity and security of your Personal Information. We also use Secure Sockets Layer (SSL) encryption to transmit sensitive information. We will make any legally required disclosures of any breach of the security, confidentiality, or integrity of your unencrypted electronically stored “personal data” (as defined in applicable state statutes on security breach notification) to you via email or conspicuous posting via the Service in the most expedient time possible and without unreasonable delay, insofar as consistent with (i) the legitimate needs of law enforcement, or (ii) any measures necessary to determine the scope of the breach and restore the reasonable integrity of the data system. We restrict access to personal information to those employees, contractors, and agents who need to know that information in order to process it for us, and who are subject to strict contractual confidentiality obligations. While Clout endeavors to protect the security and integrity of sensitive Personal Information provided to the Service, we cannot guarantee that information, during transmission through the Internet or while stored on our systems or otherwise in our care, will be safe from intrusion by others, such as hackers. We will have no liability for disclosure of your information due to errors or unauthorized acts of third parties during or after transmission.

Our Service may contain links to other websites. If you click on another third party link, you will be directed to that third party’s website. The fact that we link to a website is not an endorsement, authorization or representation of our affiliation with that third party, nor is it an endorsement of their privacy or information security policies or practices. We do not exercise control over third party websites. These other websites may place their own cookies or other files on your computer, collect data or solicit personal information from you. Other sites follow different rules regarding the use or disclosure of the personal information that you submit to them. We encourage you to read the privacy policies or statement of the other websites you visit.
Our Policy Towards Children
This Service is not directed to children. We do not knowingly collect Personally Information from children. If a parent or guardian becomes aware that his or her child has provided us with Personal Information without their consent, please contact us. If we become aware that a child has registered for the Service and has provided us with Personal Information, we will delete such information from our files.
